Non-Disclosure Agreement


This AGREEMENT is made on______________ between***** a corporation organized and existing under the laws of Hong Kong and having principal place of business at (Hereafter called “) and _________________________________________ _____________________________________________________(Hereafter called “____________“ ).


A>.Confidential Information
Confidential information as used in this agreement shall mean any and all technical and non-technical information including patent, copyright, trade secret and proprietary information, techniques, sketches, drawings, models, inventions, know how, processes, apparatus, equipment, algorithms, software programs, software source document and formulae related to the current, future and proposed products and services of each of the parties. And includes, without limitation, their respective information concerning research, experimental work, development, design details and specifications, engineering, financial information, procurement requirements, purchasing, manufacturing, customer lists, business forecasts, sales and merchandising, marketing plans and information.


B>. Nondisclosure Obligation
Each of the parties agrees that it shall not make use of, disseminate, or in any way disclose any confidential information of the other party to any person, firm or business, except to the extent necessary for negotiations, discussions, and consultations with personnel or authorized
representatives of such each party, and any purpose the other party may hereafter authorize in writing. Furthermore, the existence of any business negotiations, discussions, consultations or agreements in progress between the parties shall not be released to any form of public media without prior written approval of both parties.



C>. Waiver
The failure of either party to enforce any right resulting from breach of any provision of this agreement by the other party will not be deemed a waiver of any right relating to a subsequent breach of such provision or of any other right hereunder.



D>. Governing Law
This agreement will be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, and the parties hereto agree to submit to the non-exclusive jurisdiction of courts of the ******

此协议是定于______________， 由****有限公司，以下简称“ ****”与 ______________________以下简称“ “_______“。双方同意订立并共同遵守的。

A>.保密资料

本协议所指的保密资料是指所有技术性及非技术性资料。包括专利，版权，商业资讯及本公司特别拥有的技术，草图，图纸，模型，运算法则，软件；以及现在或将来参与产品服务的，包括但不限于相互的有关资讯，调查，实验，设计，产品规格，检测原理，使用材料，制造过程，工程资料，采购资料，制造资料，客户清单，公司发展与行销计划，财务报告及其相关资料。


B>.保密责任


双方同意在任何时候不泄露，不散布（保密资料）的内容给第三方或第三者。如有需要与其他团体或个人进行谈判，讨论，咨询等应得到ETIL的正式书面批准。此外，在未得ETIL的同意前不可以在公共媒体传播所有谈判，讨论，调查的进展和结果。


协议期间，（　　　　）有责任为ＥＴＩＬ提供合乎要求的产品及服务，任何制程上的更改及其它可能导致的产品不符合要求的变更，（　　　　）均需通知甲方，获得书面认可。否则，由此引起的一切损失，由（　　　　）负责并赔偿。


Ｃ>.承担责任


双方同意不违背以上所列各项规定，任何一方强迫另一方违反上述条款将视为无效的。除非经双方签字确认方可更改。否则，任何一方不可擅自修改任何条款。


D>.法律效力


此条款是受香港特别行政区的法律条例约束和以香港特别行政区的法律解释， 双方同意遵守香港特别行政区的最高法院的裁定。
